BUSINESS / PROCUREMENT / COMPLIANCE

Professional solutions. Transparent business terms.

These Terms of Sale establish the general framework for the supply of products, systems, security technologies, technical solutions and related services marketed under the Curro brand through www.curro-tech.eu.

Curro products and solutions are intended for professional, enterprise, institutional, governmental, security and defense-related customers. Sales are conducted primarily on a business-to-business (B2B) or business-to-government (B2G) basis, subject to individual quotations, written confirmations and contractual arrangements.

The legal entity acting as seller (the "Seller") is identified in the relevant quotation, order confirmation or sales agreement. Where separate written contractual terms are agreed, those terms prevail in the event of any inconsistency with these general Terms of Sale.

01 / 06

Scope of sale & general conditions

01

Scope and applicability

These Terms apply to proposed sales and supply arrangements involving products, systems, solutions, equipment and related services offered under the Curro brand.

Commercial transactions are intended for professional, institutional and governmental customers rather than ordinary consumer retail purchases.

Specific delivery conditions, technical requirements and contractual obligations are defined through individual quotations, purchase orders, supply contracts or framework agreements.

02

Product information and availability

Product descriptions, images, technical specifications and performance information displayed on the Website are provided for general informational purposes.

Such information does not constitute a binding commercial offer unless expressly confirmed in writing by the Seller.

Product configurations, specifications, availability and technical characteristics may change as technologies develop or supply conditions evolve.

03

Contracting parties and agreements

The identity of the contracting Seller, the purchasing entity, the scope of supply and the applicable commercial conditions are established in the relevant written transaction documents.

Where a signed agreement, accepted quotation or other binding commercial document contains specific provisions that differ from these Terms, the individually agreed provisions take precedence.

02 / 06

Orders, pricing & payment terms

04

Orders and contract formation

Orders are initiated through formal inquiries, requests for quotation, negotiated proposals or other agreed procurement procedures.

Submission of an inquiry or purchase request does not, by itself, create a binding obligation to supply.

A binding sales agreement is formed upon written acceptance by the Seller or execution of a separate contract by the relevant parties, as applicable.

The Seller may decline an order before contract formation, particularly where availability, regulatory, export control, sanctions or security considerations apply.

05

Pricing and additional costs

Prices are determined individually according to the relevant product, system configuration, project requirements and commercial agreement.

Unless otherwise specified, quotations may be expressed in Euros (EUR).

Applicable taxes, customs duties, shipping, insurance, installation, integration, training and additional services are charged separately unless expressly included in the written quotation or contract.

06

Payment arrangements

Payment conditions are agreed in writing as part of the relevant quotation, order confirmation or sales contract.

Unless otherwise agreed, payment is made by bank transfer against an issued invoice under the specified payment terms.

Depending on the project, product configuration or commercial risk assessment, the Seller may require agreed advance payments, milestone-based payments or appropriate financial guarantees.

03 / 06

Delivery & performance

07

Delivery schedules and timelines

Delivery schedules depend on product availability, manufacturing or configuration requirements, logistics, regulatory approvals and other relevant circumstances.

Any delivery date communicated during the quotation process is indicative unless explicitly confirmed as binding in a written agreement.

Where relevant, project milestones, installation schedules and acceptance procedures are defined separately in the applicable contract.

08

Transport and transfer of risk

Transport arrangements, delivery locations, insurance responsibilities and transfer of risk are determined by the agreed contractual delivery conditions.

Where expressly incorporated into the relevant contract, internationally recognized delivery rules such as Incoterms® may apply.

Any requirements relating to installation, commissioning, inspection or acceptance of delivered products are governed by the specific sales agreement.

04 / 06

Regulatory compliance & export controls

09

Export controls and restrictions

Certain Curro products, technical components, communications systems and security technologies may be subject to applicable export control legislation, sanctions, licensing requirements or end-use restrictions.

Such requirements may arise under relevant national, European Union or international regulatory frameworks, depending on the transaction.

The Seller may suspend, decline or condition a proposed transaction where required by applicable laws or regulatory compliance obligations.

10

Buyer responsibilities and authorizations

Buyers are responsible for complying with the laws and regulatory requirements applicable to their acquisition, importation, deployment, operation and use of the purchased products.

Where applicable, buyers must obtain the necessary import licenses, operational permits, end-user authorizations or other approvals required in their jurisdiction.

The Seller remains responsible for its own applicable export and compliance obligations.

Products must not be used, transferred or re-exported in violation of applicable legislation or contractual restrictions.

05 / 06

Warranty & limitation of liability

11

Product warranty

Warranty conditions, coverage, limitations and duration are defined in the relevant sales agreement, product documentation or warranty statement.

Unless otherwise agreed, warranty arrangements relate to the specified professional or institutional use of the supplied products.

Procedures for technical inspection, warranty claims, repairs or replacement are determined by the applicable contractual and product-specific terms.

12

Limitation of liability

To the maximum extent permitted by applicable law and subject to the agreed contract, the Seller's liability for indirect, incidental or consequential losses may be excluded or limited.

Such losses may include loss of profit, business interruption, operational downtime or data loss, where the exclusion is legally permissible.

Nothing in these Terms excludes or restricts liability that cannot lawfully be excluded under applicable legislation.
